Uber to Acquire Delivery Hero for $14.8 Billion

Uber, the ride-hailing company, announced today its acquisition of the German delivery firm Delivery Hero in a deal valued at approximately $14.8 billion, paving the way for the creation of the world’s largest food delivery entity outside the Chinese market.
Uber has made a cash offer of €41.50 (equivalent to $47.58) per share, representing a 34% premium over the German company’s average share price based on trading volume during the three months preceding the announcement, according to Reuters.
The acquisition is conditional on receiving acceptance from at least 50% of shares plus one additional share to complete the deal. The two companies stated in a joint announcement that the transaction would result in a unified platform serving 99 countries worldwide, with total goods sold reaching approximately $236 billion, based on 2025 data.
Talabat Holding PJSC, listed on the Dubai Financial Market, confirmed today that there will be no changes to its strategy, operations, leadership structure, or listing status, following an agreement signed between Delivery Hero SE and Uber Technologies regarding a voluntary tender offer for all of its shares listed on the Frankfurt Stock Exchange.
The company clarified in a statement that if the acquisition offer is successfully completed and all required regulatory approvals are obtained—expected in the second half of 2027—Uber will become the direct owner of Delivery Hero SE, listed on the Frankfurt Stock Exchange. Delivery Hero SE currently holds Delivery Hero Middle East Holding DELIVERY HERO MENA HOLDING GMBH, the major shareholder in Talabat with an 80% stake, without any change.
It noted that, as a company listed on the Dubai Financial Market, it remains under the supervision of its own board of directors and complies with the regulations and laws in force in the country. It reaffirmed its commitment to continuing operations according to its current strategy, with no changes to its operations, management, or listing status, while any corporate actions will continue to adhere to the governance frameworks and regulatory requirements applicable in the United Arab Emirates.
