Establishment of 'Kuwait Digital Network' with KD 33.19 million.. 50% for citizens

Ahmed Maghrabi: The Minister of State for Economic Affairs and Investment and Acting Minister of Commerce and Industry, Abdulaziz Al-Marzouq, issued Ministerial Decision No. 185 of 2026 regarding the establishment of Kuwait Digital Network Company as a public Kuwaiti joint-stock company, with an authorized and paid-up capital of 33.19 million Kuwaiti dinars, distributed across 331.9 million shares. The decision set the nominal value of each share at 100 fils.

The decision specified the company’s paid-up capital at 8.29 million dinars and established the share distribution structure among the government, the investor, and Kuwaiti citizens. It stipulated that 10% of the shares be allocated to the government and its affiliated entities, with this portion assigned to the Public-Private Partnership Authority on behalf of public entities. Additionally, 40% of the shares were allocated to the investor, Kuwait Fibre Holding Company (Batelco Kuwait Fibre). The remaining 50% of the shares were reserved for Kuwaiti citizens, to be assigned to the Public-Private Partnership Authority on their behalf.

The decision mandated that the company’s establishment procedures be completed in accordance with the provisions of Company Law No. (1) of 2016 and its executive regulations, Capital Markets Authority Law No. (7) of 2010 concerning the establishment of the Capital Markets Authority and the regulation of securities activities and its executive regulations, Public-Private Partnership Law No. (116) of 2014 and its executive regulations, as well as related laws, decisions, and regulations.

It further stipulated that the relevant officials shall implement the decision within their respective areas of responsibility, that it shall take effect from the date of its issuance, and that it be published in the Official Gazette.
